Terms of Sale (ECQ NEXT subscription)

Version: 2026-10-11

This document sets out the sale and subscription terms of ECQ NEXT. The seller and contracting party is EUROPEAN CENTRE QUALITY TAX CONSULTANCY L.L.C; use of the ECQ NEXT software is additionally governed by the Platform and ASP Terms of TradingHive Technologies Ltd.

1. Parties

Seller: EUROPEAN CENTRE QUALITY TAX CONSULTANCY L.L.C (DET licence 1247331, Office M-01-129, Al Khabaisi, Dubai, UAE; VAT TRN 104200870400003), exclusive distributor of ECQ NEXT in the United Arab Emirates, acting in its own name (ECQ).

Customer: the company that opens a workspace in ECQ NEXT, represented by the registering or invited user. The user confirms that they may act for the company.

The software is owned and developed by TradingHive Technologies Ltd (DIFC licence CL9878, IH-00-01-01-OF-01, Level 1, Innovation One, Dubai International Financial Centre, Dubai, UAE); its use is governed by the separate Platform and ASP Terms.

2. Formation of the contract

The contract is formed when the terms are accepted at registration; the workspace becomes active once ECQ approves it. For a paid plan, the subscription starts with the first successful payment.

3. The service

ECQ provides access to the ECQ NEXT platform with the features and limits of the chosen plan (client portal, document issuance, partner register, company documents, deadlines, messages). The current plan contents are shown on the Subscription page.

Accounting, tax and advisory services provided by ECQ are subject to a separate engagement and are not part of the subscription.

4. Plans and fees

The Starter plan is free. Business and Professional are paid monthly or annually; Enterprise is quoted individually. Fees are net amounts; 5% UAE VAT is added.

Current fees are shown on the Subscription page. ECQ gives at least 30 days' notice of a fee change, which applies from the next subscription period.

5. Payment and invoicing

Paid plans can be paid by card through the payment provider Stripe; ECQ never sees or stores card details. Bank transfer is available under an individual agreement.

For every successful payment ECQ issues a tax invoice (ECQ NEXT online invoice, EN series) and sends it by email. The invoice includes an intermediated service.

6. Renewal and cancellation

The subscription renews automatically each period (monthly or annually) and the fee is charged to the same card on renewal.

The subscription can be cancelled at any time on the Subscription page ("Manage card and subscription"). Cancellation takes effect at the end of the paid period; until then the plan remains available, after which the workspace moves to the free Starter plan. Fees for a paid period are not refunded unless the law requires it.

If a charge fails, the payment is retried; if it still fails within 7 days, paid features may be restricted until the fee is settled.

7. Plan changes

Upgrades and plan changes for card subscriptions can be requested from ECQ in Messages; ECQ invoices the difference.

8. Support

Questions, complaints and fault reports can be sent in Messages or to helpdesk@ecqnext.com. ECQ answers on business days.

9. Customer responsibility

The customer is responsible for the data recorded on the platform and for the content of the documents it issues (buyer, TRN, VAT rate, date of supply), for the authenticity of uploaded documents and for its own tax obligations. The platform's checks and warnings are aids, not tax advice.

10. Limitation of liability

ECQ's liability in connection with the subscription is limited to the subscription fees actually paid in the 12 months before the damage; ECQ is not liable for lost profit or indirect damage, except where the law does not allow such limitation.

11. Suspension and termination

ECQ may suspend access for unpaid fees, a serious breach of these terms or unlawful use. After termination, customer data is kept until the end of the retention period required by law and then deleted.

12. Data protection

The processing of personal data is described in the privacy notice. For partner and buyer data recorded by the customer, the customer is the controller.

13. Changes to these terms

ECQ gives at least 30 days' notice of changes by email and in the portal. A customer who does not accept a change may cancel the subscription before it takes effect.

14. Governing law

The contract is governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai; the courts of Dubai have jurisdiction.
